General Summary
The Vice President and Deputy General Counsel ("DGC") is responsible for overseeing and managing the day-to-day operations and proper functioning of the WellSpan Health Office of General Counsel (the "OGC"), including providing direct supervision for the OGC staf, developing and overseeing the OGC budget, and providing legal advice and counsel to WellSpan Health board members, senior leaders, management, physicians and other staff.
The DGC will (i) work closely with the Senior Vice President and Chief Legal Officer to develop and implement the strategic and tactical plans of the OGC, including supporting a culture of informed decision making and risk mitigation; (ii) oversee assignment of matters to OGC attorneys and staff and serve as a mentor for OGC team members, emphasizing serving as trusted advisors who understand the business of WellSpan Health and are viewed as proactive problem solvers positioned to help business leaders develop solutions; and (iii) function as a practicing attorney, providing advice and counsel, reviewing and drafting documents, negotiating with third parties, interacting with regulatory agencies, and serving on committees and boards of WellSpan Health and the entities controlled by WellSpan Health (the "Health System") as requested.
The DGC will actively cultivate relationships with key stakeholders, select and manage outside counsel, and establish and enforce OGC policies. If the Chief Legal Officer is absent, the DGC will act with the authority of a chief legal officer.
