This role will carry significant autonomy and responsibility, acting as our financial accountant and playing a key role in analyzing not only the audited financials but also the representations and warranties outlined in the purchase agreement as it relates to the financials of the target. The individual will need to excel not only in finance but also in M&A, with a strong understanding of the agreement, financial and accounting provisions, purchase price adjustment mechanisms, earn-out provisions, and more.

 

Additionally, this role will demand flexibility beyond a typical 9-5 schedule. Similar to the rest of our team, this person will need to be available during deal time in addition to occasional evenings and weekends to support underwriters on financial matters. They must be able to manage multiple projects simultaneously and demonstrate strong project management skills.

 

Responsibilities:

 

Review M&A sale and purchase agreements, including the financial and accounting provisions, purchase price mechanism, and post-closing dispute resolution processSupport pre-signing negotiations and understand findings from financial due diligenceSupport purchase price disputes projects related to working capital, earnouts, and/or representation and warranties claimsCoordinate with team and management regarding client expectations concerning project deliverables and deadlinesEffectively write and communicate engagement reports and deliverables

 

The successful candidate will have:  

 

3+ plus years of transaction advisory or forensics experience at a national public accountancy or forensic accounting boutique.Experience in forensic accounting/litigation support, insolvency accounting, including creditor committee and/or debtor bankruptcies, financial fraud investigation, financial modeling, ratio and comparable company analysis, preparation and/or review and analysis of financial statements and projections.Bachelor’s degree in Accountancy, Finance, or related fieldCPA strongly preferredStrong current knowledge of US GAAPExperience with transaction advisory, mergers and acquisitions, forensic accounting engagements and/or litigation supportExcellent analytical, problem-solving, and critical thinking determination skillsStrong written and verbal communication and presentation skillsStrong Excel and PowerPoint skillsStrong project management with the ability to work on multiple projects simultaneously in a team-oriented environmentAbility to work additional hours as needed and travel out-of-town to clients as requiredAction-oriented, decisive approach to work required, with the willingness to take a hands-on role to ensure the deliverables are met on time

 

Qualifications Bachelor`s degree required; CPA or Advanced Degree in Accounting, Finance or Business preferredMinimum of 10+ years of progressive financial analyst and/or finance project/program managementExcellent analytical, decision making and problem-solving skills with the ability to identify new areas of opportunity and make recommendations to senior leaders on future strategiesHas the ability to build highly functional teams that work cooperatively to achieve project goalsCommunicates effectively with all levels of the organization and builds diverse partnerships to deliver value to customers while minimizing conflictRaises new ideas and comfortable making persuasive presentations to large audiences as champion of the project`s objectivesMust possess strong interpersonal skills to promote discussion while fostering collaboration within the team and with other areas of the organizationEffectively negotiates project direction and communicates to a variety of audiences and levels of the organization to ensure alignment with project goals and schedulesAbility to lead meetings and make presentations to increasingly large audiencesAttention to detail in a fast-paced work environment, and the ability to manage and prioritize multiple projects simultaneously to drive results About Us

Pay Philosophy: The typical starting salary range for this role is determined by a number of factors including skills, experience, education, certifications and location. The full salary range for this role reflects the competitive labor market value for all employees in these positions across the national market and provides an opportunity to progress as employees grow and develop within the role.
