PURPOSE AND SCOPE:
Utilizes advanced expertise and in-depth knowledge of the company, mergers and acquisition transactions, healthcare and dialysis industry to identify, define and implement initiatives necessary to carry out appropriate vetting and execution of business partnerships. Researches and analyzes business opportunities consistent with the company's short and long-range objectives and strategic plans. Evaluates projects through financial models and market research using internal and external data, third-party resources, collaborating with internal company management and personnel and external advisors to manage strategic initiative implementation as applicable.
PRINCIPAL DUTIES AND RESPONSIBILITIES:
Manages an analytical and project focused team to provide transaction vetting and execution support for negotiation teams.
Manages and facilitates the Acquisition and Joint Venture close process to carry out all necessary tasks required to close a transaction, to include managing others following the same protocol.
Provides Acquisition and Joint Venture transaction close process training for all members of the negotiation teams, other internal departments, outside counsel, and other stakeholders, with ongoing coaching and guidance as needed.
Applies knowledge and understanding of the company requirements necessary to close a transaction, to include managing others following the same protocol. Works within specific protocol required by other departments to complete tasks.
Applies knowledge and understanding of the transaction closing documents and preparation of information necessary to complete by internal and external counsel.
Provides situational and transaction close consulting/guidance as needed.
Reviews pro forma models for accuracy and troubleshoots and/or researches issues/changes in the model as needed.
Applies knowledge and understanding of the Capital Review process for de novo projects while working directly with internal Real Estate and Construction and Transaction Management teams; the Physician Compensation process necessary to monitor and ensure execution takes place; the Regulatory process being able to apply Federal and State by State requirements to specific situations during the close of a transaction; the Third-Party Valuation process, addresses concerns as needed; and Accounting principles necessary to communicate and address various concepts and issues as needed.
Processes and prepares training of transaction committee, board approval, and loan approval requests.
Reviews transaction committee, board approval, and loan approval requests through facilitation of multiple levels of senior management sign-off.
Applies knowledge and understanding of the internal loan and covenant process.
Applies knowledge and understanding of critical market research, data collection and multifaceted analyses to develop and recommend long and short-range plans that provide for strategic new business opportunities and direction to the Acquisition and Joint Venture Negotiation teams, other internal departments, external parties and other stakeholders as applicable.
Utilizes data from various internal and external sources, and targeted internal and external data, to engage in comprehensive and complicated data analyses and modeling to evaluate the status and viability of transactions.
Collaborates with the appropriate business line management and staff including Market Development, Operations, Finance and other stakeholders to develop strategic business plans used to evaluate and pursue the close of transactions.
Manages and reports on transaction status to VP Corporate Development, Acquisition and JV Negotiators, Operations, Market Development, JV Accounting and Finance, and other stakeholders to provide awareness of situations, issues, timelines and milestones to ensure successful execution.
Applies knowledge and understanding of internal systems necessary to collect, review, research, and prepare data, and track and report transaction details and status.
Works closely with VP Corporate Development to establish and maintain department policies and procedures ensuring compliance of department functions with all pertinent company and regulatory requirements.
Performs other related duties as assigned.

EDUCATION AND REQUIRED CREDENTIALS:
Bachelor's Degree; Advanced Degree preferred or an equivalent combination of education and experience
Preferred specialization in Business, Accounting and/or Finance
EXPERIENCE AND SKILLS:
6+ years' related experience or an equivalent combination of education and experience.
3+ years' experience as a Manager; or 3+ years' experience in a senior managerial role.
5+ years' experience in a healthcare related field, preferably healthcare services or MedTech
Great time management skills with the ability to multitask concurrent priorities in an organized manner.
Strong management skills with the ability to lead cohesive and productive teams.
Strong interpersonal skills with the ability to communicate with all levels of management through diplomacy and tact.
Excellent oral and written communication skills.
Experience with deal structuring, valuations, modeling, robust diligence planning and contract negotiations
