About the Role
The position serves as a key governance partner and critical role in Board Office.Roles and Responsibilities:
Corporate Governance and Board Secretarial Management:
• Implement corporate governance related laws and regulations as well as Group governance requirements, maintain AOA, Board Charter and other key governance documents, all in alignment with the Company’s governance framework
• Conduct NAFR corporate governance self-assessment and aim to ensure compliance and continuously improve the rating
• Board Secretarial Management: prepare board meeting plan, organize board meetings and collaborate with all exco to prepare board papers, prepare and maintain meeting minutes and resolutions, English/Chinese translations, etc.
• Manage board operations to meet both regulatory and Group requirements, including the election and retirement of directors, director/supervisor performance appraisal, INED talent pool maintenance
• Facilitate the directors to perform their responsibilities by conducting researches, answering queries or organize meetings and workshops
• Manage the receipt and submission of all regulatory reports and information disclosure, including regulatory system maintenance, quality control and status tracking
Governmental and Regulatory Affairs:
• Build and maintain the communication channel with government and regulators, as well as management the relationships under the leadership of the Head of Legal & Board Office
• Support the CEO and senior management to deal with all governmental and regulatory matters, including coordinating regulatory onsite inspections and visits; prepare presentations and scripts for senior management; assisting negotiating government subsidies, etc.
• Handle all official documents from regulators, associations/governmental agencies, including registration, circulation and providing interpretation and clarification of regulatory requirements when necessary
• Manage the receipt and submission of all regulatory reports, including regulatory system maintenance, quality control and status tracking
• Manage the issuance of all internal official documents (内部公文)
General Affairs:
• Manage OA system, including customization and configuration, system maintenance, end user support, etc.
• Manage company seals, including daily use and storage Manage business license and certificates, including daily use, storage and annual inspection
• Record management
Minimum Job Requirements:
• At minimum 5-8 years PQE
• Experience in board secretary matters is required
• Experience from insurance asset management company or financial institution is strongly preferred
• Experience in communicating with regulators is a must
• Proficiency in spoken and written English in order to effectively communicate with multiple stakeholders
• Accountable, efficient, detail oriented, good team player and willing to explore new area
• Well organized, good communication skills
