About the Position
We are seeking a seasoned attorney to safeguard our public market integrity while enabling strategic growth. This role will take the lead on all SEC reporting and disclosure, ensuring the timely and accurate filing of 10-Ks, 10-Qs, 8-Ks, proxies, and Section 16 reports in close partnership with Finance, Investor Relations, and the SVP & General Counsel. You will be preparing materials to advise the Board and its committees on governance, fiduciary duties, and best practices, while also supporting capital markets activity and M&A initiatives through due diligence, transaction execution, and disclosure. In addition, you will review earnings releases, investor presentations, and all public communications for regulatory compliance and accuracy, and oversee our insider trading program to maintain strong compliance across the organization.
What You’ll Do

1. Provides counsel and guidance on legal implications of matters to senior Company personnel in designated areas of responsibility.
2. Determines or assists in determining the source of legal services to be used as situations develop, as well as reconciles and advises as to the Company’s recommended position on legal matters.
3. Supervises outside counsel engaged by the Company. Reviews outside counsel billing to assure compliance with Company policy and efficient use of Company resources.
4. Reviews, analyzes and comments on the Company’s legal obligations and advises the appropriate function head of the degree of legal risk on matters or issues within the assigned area of responsibility.
5. Performs other legal services as necessary.
6. Represents the Company as appropriate in its relationship with the legal and business communities by participating in targeted events, conferences and workshops.
7. Maintains a professional and technical knowledge by attending legal workshops, reviewing professional publications, establishing personal networks, and participating in professional societies.
8. Performs other duties as assigned or apparent.
Supervisory Responsibilities
May include direct supervision of professional, paraprofessional and administrative support staff.
What You Bring to the Table
Juris Doctorate or foreign equivalent from an accredited law school required.
Five (5) years of professional experience as an attorney at a private law firm, corporation, or governmental agency.
A member in good standing of a Bar of one of the fifty states or the District of Columbia.
Must be able to demonstrate a high level of analytical, conceptual and strategic thinking to provide legal counsel and guidance to the Company, as described above.
Must possess the ability to convey a professional image and effectively represent the Company as appropriate in its relationship with the legal, education, business, and government communities.
Must be able to communicate complex and technical information to persons with non-legal related backgrounds.
Must possess excellent oral, written, and interpersonal communication skills to communicate to Company personnel organizational policies and procedures, as well as federal and state regulations, as described above.
Must have a working knowledge of personal software packages to prepare correspondence, spreadsheets, and reports.
Must be self-motivated, well-organized, results oriented and able to manage several projects simultaneously under deadline pressure with minimal supervision.
Must be able to creatively address and solve problems.
Must be willing and able to work cooperatively in a team setting.
