Purpose / Key Responsibilities: - Purpose: To provide commercially relevant, practical and pro-active Legal services to the Company. Key responsibilities:- Preparation, negotiation and review of legal agreements governing commercial relationships with third parties with whom the Company has dealings and such contracts may include agreements for procuring services and goods, relating to manufacturing and supply on P2P or on LL basis, Lease/Leave & License, Distribution, stockiest, CFAs, stockiest and other miscellaneous agreements. Management and conduct of litigation involving the Company (including recoveries, general commercial, civil, intellectual property litigation, prosecution, consumer liability etc.), preparing case for opinion, briefing counsels and actively attending the hearing before the Courts. Maintaining and updating MIS of legal cases through regular follow ups with external Advocates Management and protection of Trademarks in conjunction with Corporate Intellectual Property Department, above country. Provisions of strategic legal advice and acting proactively as required to minimize legal risks faced by the Company and to maximize opportunities afforded by new and proposed legislation in the areas of pharmaceutical regulatory matters, contract law, trade practices, Intellectual property, property law and Company law. To deal with and manage correspondence with Regulatory and other Governmental Authorities (such as FDA, DCGI, NPPA etc.) in connection with the Company’s business and to ensure compliance within time in consultation with regulatory and quality teams. Provide legal support to the Distribution, Supply and Logistics functions of the Company Support the Company’s manufacturing units, in providing timely legal support on contracts and advice on day to day issues at the units Legal support to the third-party sourcing activities of the Company Support to the Clinical Trial functions of the Company To deal with and co-manage Consumer / Non-Governmental organizations complaints regarding quality, efficacy, shortage, non-availability of Company’s products Advise stakeholders to ensure compliance with local laws and regulations Advise Business on implications and strategy under various laws such as drug pricing laws, Drugs & Cosmetics Act, pollution control laws, laws applicable to the Company’s manufacturing site in Maharashtra. Advise business on interaction with external stakeholders such as healthcare professionals, patients, retailers, hospitals and on participation in Tenders, in line with local laws & company’s SOPs. Advise business on use of digital & social media & telecommunication for such interaction. Support compliance team by guiding them as and when any issue arises with regards to interpretation of internal policies and/or applicable legal provisions. Support global projects for implementation of new processes Provide litigation support to tax and HR team for high stake matters and advise them the way forward. Provide legal and transactional support to the Business Development team including on acquisitions and disposals Compliance:- Ensure that business processes are fully aligned with Corporate compliance policies Assist in the dissemination and implementation of group policies and foster a compliance and ethical culture Maintain awareness of issues that could result in reputational and / or financial damage and ensure management awareness Qualifications / Minimum Required (Education / Experience / Competencies):- Education: Degree in Law from a recognized University in India Experience: At least 8-10 years experience at a reputed law firm or as an in-house legal advisor in a large corporation with multiple locations, large sales and marketing base and manufacturing facilities. Competencies:- Robust knowledge of local law and regulations Good knowledge of local anti-bribery and privacy regulations & fair understanding of FCPA, UKBA, GDPR Excellent written and verbal communication skills to effectively convey legal advice and documentation in a commercially sound and relevant manner Sound judgment and business sense Ability to evaluate & advise on the best possible options in ambiguous areas of law Strong drafting & negotiation skills Sound knowledge of Privacy related laws and procedure Good interpersonal skills and the ability to interact effectively with a wide variety of stakeholders and business & functional heads Strategic thinker Strong customer focus, yet having the ability to give independent advice Knowledge of pharmaceutical laws and healthcare industry / environment will be an advantage Willingness to act in line with GSK’s values & Expectations: Why GSK?
