Job Description

We are seeking a highly skilled and experienced Senior Legal Counsel (m/f/diverse) with expertise in Mergers & Acquisitions to join our dynamic legal team in Hannover, Germany. As a key member of our Central Law Department, you will provide legal advice in strategic projects and transactions of the Tire Sector involving the acquisition and divestiture of companies and/or business, the establishment and separation of joint ventures in particular:

Advising in the evaluation phase such as preliminary feasibility study of the transaction, carve out concept, transaction structure, and on documentation, like NDAs, release letters, engagement agreements, process letters, indicative offers, defense agreements, market studies for merger control purposes, etc.Advising in organization phase, including establishing insider lists, drafting insider information sheets, drafting individual undertakings regarding confidentiality/insider trading.Manage legal due diligencePreparation of transaction agreement(s), ensuring internal alignment on the content of the agreement and negotiating themAdvising on regulatory approvalsAssisting (a) in the signing and closing process of a transaction, including obtaining merger control clearance(s) and foreign investment approvals, (b) in obtaining internal approvals, (c) satisfying or review satisfaction of other conditions for closing, (d) in following up and ensuring the fulfillment of obligations arising out of the main transaction documents, including covenantsDevelop rules of conduct for transition period between signing and closing, assist in their implementationAdvising in post-merger activities,Selection, retention and management of external counsel and of external legal budget

QualificationsFully qualified lawyer (m/f/diverse) with bar admissionSeveral years of professional experience as a fully qualified lawyer in a law firm, corporation, ideally including experience with Corporate / M&AGood communication skills with the ability to write clearly, prepare professional communications and to convey complex matters clearly and professionallyStrong negotiation skills and business understandingStrong intercultural competenceProject management skillsHigh ownership, motivation and commitmentProficiency in German is required. Excellent command of English is essential, additional language skills are an advantage.Strong team player with willingness and ability to work in an international environmentWillingness to travel when required
