Overview

IQVIA is seeking a highly experienced Senior Counsel to join our ANZ legal team. This role will serve as a trusted legal advisor to the business, with a strong emphasis on M&A and strategic transactions, alongside complex commercial and technology matters.

Supporting operations primarily across Australia and New Zealand, with involvement in broader APAC transactions, this role offers the opportunity to work at the forefront of digital health, life sciences, and data-driven innovation.

Key Responsibilities

Lead legal support for mergers & acquisitions, divestitures, joint ventures, and strategic investmentsManage end-to-end transaction lifecycle, including structuring, due diligence, negotiation, and executionConduct and oversee legal due diligence, with a focus on:Commercial contractsTechnology assets and IPData privacy and cybersecurityRegulatory risks in healthcare and life sciencesDraft and negotiate transaction documents (SPAs, asset purchase agreements, JV agreements, etc.)Partner with internal stakeholders (corporate development, finance, business leaders) to drive deal executionManage external counsel and support post-deal integration, including contract and technology transitionDraft, review, and negotiate complex commercial and technology agreements, including:SaaS, cloud and software licensingData analytics and digital health solutionsVendor, customer, and strategic partnership agreementsProvide advice on technology, digital health, and data-related risks, including IP, data privacy, and regulatory complianceEnsure all contracts comply with legal, regulatory, and internal policy frameworksAct as a trusted advisor on legal risk in regulated environments, particularly within healthcare and life sciencesSupport compliance with local and regional regulatory requirements, including data privacy and industry-specific obligationsAdvise business leaders on operational and commercial riskProvide guidance on employment law matters in partnership with HRSupport dispute resolution and litigation strategy, including coordination of outside counselAdvise on IP, privacy, and other general corporate legal matters

Required Education and Experience

L.L.B, L.L.M or JD, or equivalent (admitted to practice in Australia)10+ years’ post qualified experience, with strong experience in:M&A / corporate transactions (essential)Commercial contracting and technology transactionsSaaS, technology contracts, and data-driven business modelsData privacy, IP, and regulatory frameworksExperience in digital health, pharmaceuticals, or life sciences strongly preferredExperience working across multi-jurisdictional matters (APAC exposure desirable)Exceptional drafting, negotiation, and stakeholder management skillsAbility to manage complex, cross-functional projects independently in a fast-paced environmentStrong commercial acumen with the ability to balance risk and business outcomesHighly organised with excellent attention to detail and ability to manage competing prioritiesConfident communicator with the ability to influence senior stakeholdersAgile mindset with the ability to learn new areas of law quickly
