How will you make an impact in this role?
The Paralegal will be part of the General Counsel’s Organization supporting American Express entities across multiple locations in Asia. The role provides legal and corporate secretarial support to local teams for corporate governance-related activities, ensuring alignment with regulatory requirements and enterprise standards.
Key Responsibilities:
Support the General Counsel’s Organization to administer ongoing maintenance and oversight of legal entity governance for American Express entities across Asia.
Oversee and assist the preparation and management of:
Effectiveness reviews of the Board and Committees.
Corporate governance questionnaires and attestations for American Express entities across Asia.
Support the organization and management of Board and Committee meetings and trainings. Assisting with preparation and distribution of materials for Board and Committee meetings, including notices, agendas, resolutions, meeting materials and meeting minutes. Assisting with preparation of director’s training materials, and coordinating and delivering director’s training sessions.
Draft/refresh internal governance manuals, policies and procedures, including tracking refresher timelines to ensure timely updates.
Coordinate the preparation and filing of regulatory reports between the General Counsel’s Organization and external law firms across Asia.
Maintenance of statutory records, including resolutions, minutes, returns and registers.
Tracking key regulatory and internal filling timelines, ensuring related fillings are done on time.
Assisting with various governance functions, including maintaining complete and accurate documents, corporate records, companies’ constitution, minute books, corporate seals, officer and director registers, authorized signatory lists, and corporate registrations and filings.
Preparing and maintenance of certificates, powers of attorney and other corporate documents.
Manage legal aspects of governance framework design, implementation, and continuous improvement for all American Express entities across Asia.
Drafting and maintaining process toolkits, documents, and policies owned by the General Counsel’s Organization.
Maintaining centralized repository for the storage of all governance related documents.
Providing support to colleagues within the General Counsel’s Organization and other internal stakeholders, as needed.
Assist in other secretarial administration work from time to time.
Minimum Qualifications:
Degree in Law (LLB or equivalent) and/or Degree in Corporate Administration.
2+ years of related legal or paralegal experience in a corporate governance role, ideally with law firms or in-house legal department, with exposure to corporate governance.
Demonstrated knowledge of corporate governance, best practices, protocols and procedures.
Excellent written and verbal communication skills, including fluent English (written and verbal).
Strong organizational skills, attention to detail, and ability to multi-task effectively.
Proactive and a team player with strong communication skills.
Preferred Qualifications:
Strong understanding of corporate governance and compliance frameworks.
Proficiency in legal research tools and Microsoft Office 365 tools (Word, Excel, Powerpoint, Sharepoint). Experience in Power Automate is a plus.
