Job Description
This role supports corporate governance and compliance for a public company by maintaining accurate and up-to-date corporate records, including books, minutes, and official documents. Responsibilities include managing subsidiary entities, coordinating director and officer questionnaires, and preparing annual meeting minutes. The position assists with SEC-related documentation such as signature pages and Section 16 insider trading reports, ensuring alignment with regulatory requirements. It also involves administering equity programs, tracking ownership, and supporting annual report processes requiring executive sign-off. Strong attention to detail and experience in recordkeeping and equity administration are essential to maintain compliance and organizational integrity.

Skills and Requirements
•Corporate governance experience (legal entities, international, resolutions - tax, finance, compliance)
•Experience with SEC-related documentation (even if not directly filing reports).
•Strong attention to detail for maintaining meticulous records.
•Familiarity with equity administration and insider reporting requirements.
•Ability to support executive-level governance processes and compliance obligations.
•Public company background -QSR Industry
