ALTA IT Services is seeking an experienced Paralegal to support a major health insurance client on a 6-month contract. This role is best suited for a senior-level paralegal with deep experience in vendor contract management and advanced legal support across specialized areas such as corporate governance, compliance, and commercial contracting. This is a high-impact position supporting the Office of Corporate Counsel and cross-functional teams.

Key Responsibilities:
Contract Review and Vendor Management Review, draft, and negotiate a variety of commercial contracts, including: Consulting Services Agreements Software License Agreements SaaS Agreements Non-Disclosure Agreements (NDAs) Ensure legal agreements meet internal policy requirements and risk mitigation standards. Support vendor onboarding and compliance processes. Coordinate company responses to external requests (e.g., auditors, regulators, litigants). Manage document production and internal information gathering for attorneys. Submit filings and support compliance activities related to vendor contracts. Litigation and Compliance Support Assist with document production, discovery processes, internal investigations, and witness prep. Issue and monitor document hold notices. Interface with external agencies, regulators, and legal entities. Coordinate risk management processes in collaboration with internal teams. Legal Policy and Governance Support Review and help revise corporate policies and procedures related to contracting. Maintain legal forms, contract templates, and document databases. Provide governance support and contribute to corporate legal operations. Advanced Legal Research Conduct legal research in the areas of contracts, healthcare law, procurement, and other relevant topics. Track and review proposed legislative and regulatory changes. Draft research summaries, memos, and support documentation for legal teams. Additional Legal Support Draft memoranda, case correspondence, and litigation support materials. Prepare charts, graphs, and data for internal reporting. Liaise with internal departments and external legal contacts under attorney direction. Qualifications: Education: Bachelor’s Degree required; paralegal certificate preferred or equivalent work experience. Experience: Minimum of 7 years of paralegal experience in a corporate legal department or law firm. Significant experience with contract review, vendor management, and legal document negotiation. Background in healthcare or regulated industries is highly preferred. Skills & Competencies: Strong knowledge of commercial contract structure and legal risk assessment. Excellent legal research, drafting, and communication skills. Highly organized, analytical, and capable of working with minimal supervision. Proficient in managing multiple priorities in a fast-paced legal environment.
