JOB PURPOSE
As a Legal & Compliance Manager Colombia supporting the Legal & Compliance team, you will develop and administer organization-specific ethical standards applicable to all employees including documenting policies and procedures related to the ethical standards established by the business, develop and conduct employee ethics training and ensure employee attendance/completion of all required courses, audit compliance with ethics programs & procedures, investigate complaints and verify that deficiencies are corrected.
JOB FUNCTIONS
• Serve as the primary general legal and compliance support for Colombia.
• Provide legal advice regarding complex legal and commercial matters, including those related to commercial sales and strategy, competition, litigation, internal investigations, regulatory matters, fraud and abuse risks, FCPA, parallel trade, marketing and promotion, employment matters, tax matters, and new legal trends and legislation.
• Provide substantive legal counsel and pro-active advice to management and the Legal Function as a whole.
• Active member of the Colombia leadership team.
• Represent Alcon Legal to outside stakeholders, in particular the government, the union and industry associations.
• Lead projects that influence enterprise-wide decisions and/or materially impact Alcon corporate structure or financial reporting.
• Provide guidance to support the reduction of risk and avoidance of unanticipated disruptions to the business.
• Partner with businesses throughout Colombia to help achieve business objectives with high ethics and integrity
• Set and communicate standards to enable businesses to act in compliance with applicable laws, regulations, industry codes, and best practices.
• Instruct, manage, and supervise external law firms providing advice to Alcon to ensure that Alcon receives timely, efficient, and effective support specially about legal issues related to enable functions, surgical and vision care businesses, including, but not limited to, litigation, corporate governance and labor law.
• Follow-up to extrajudicial collection and litigations with external legal counsels. Quarterly reporting at least (Legal Docket).
• Facilitate the establishment and communication of local processes, SOPs, and training, including but not limited to, Interactions with HCPs/Patients and Grants and any additional local requirements.
• Champion ethical tone throughout the organization, e.g. promote compliance standards through effective communication by actively involving local Senior/Middle Management to leverage messages on compliance and maintain high level of awareness.
• Defines and drives mid-term and long-term strategic goals within the department.
• Acts as a resource, coach and coordinator to other department members.
• Works to foster a diverse and inclusive environment free from all forms of discrimination and harassment.
• Document policies and procedures related to the ethical standards established by the business (e.g., policies & procedures related to conflicts-of-interest, confidentiality/privacy, fraud, appropriate use of company assets, interpersonal conduct in the workplace, etc.);
• Develop and conduct employee ethics training and ensure employee attendance/completion of all required courses.
• Monitor compliance with ethics programs & procedures, investigate complaints, and verify that deficiencies are corrected.
• Directly negotiate agreements for the local organization, i.e., equipment financing agreements, sale agreements, distribution agreements, consignment agreements, services agreements, etc.
• Manage legal housekeeping (archiving of contracts, minutes of the local organization boards and shareholder meetings etc.).
• Attention to internal and external audit requirements related with Legal & Compliance.
• Review and approval of support documents necessary to participate on public tenders.
• Review and approval of promotional materials for both franchises.
• Monitoring of contract management system.
POSITION REQUIREMENTS
- Experience:
- 5-7 years of relevant experience in the legal area
- Preferably significant (+ 2 year) experience in legal practice related to the medical device, but other healthcare related experience (such as pharmaceutical experience) is also helpful
- Experience with corporate responsibility and with balancing global standards and local cultures
- Proven corporate experience; in particular, experience drafting all manner of agreements and contracts
- Strong knowledge of legal and compliance issue
- Compliance experience is an asset
- Education:
- Law Degree from an accredited law school
Master’s degree or specialization in Corporate Law, Business Law, or related fields
- Languages:
- English advanced. Needs to be able to communicate fluently with different internal stakeholders
