The role of the Legal Counsel is to work directly with Bid teams regarding contract negotiations and tender outcomes across UVX - which is a culmination of Underwater Systems, Avionics and Secure Information Communications Systems businesses, who have each respectively over many years, created a trustworthy and dependable foundation with our customers through the delivery of critical capabilities. The Legal Counsel provides legal and commercial guidance and direction and plays a crucial role in ensuring the profitability and success by identifying and addressing potential contractual challenges that may impact the project’s scope, time or cost.
The Legal Counsel will be contributing to the business commercially, enjoying participating in a growing enterprise, and willing to jump into a role that is hands-on but also strategic in nature.

Working from our Rydalmere site, on Dharug land, your role purpose will be:
Leading contract negotiations with customers and subcontractors to establish mutually beneficial agreements that align with Thales’ goals and objectives, with an emphasis on early stakeholder engagement, scope development, planning and strategy.Responsibility for drafting and responding to commercial terms and conditions and for drafting agreements such as Teaming Agreements, License Agreements and Confidentiality Agreements.Proactively identify and manage potential contractual risks, challenges and opportunities throughout the project lifecycle.Provide high quality and timely legal advice to key stakeholders, interpreting the contract and scope of work for the project and the rights and obligations of Thales and the other parties.Identifying and monitoring any potential contractual disagreement/dispute. Preparing contract artefacts such as contract notices, contract claims, contract change proposals (CCP), routine IP and related deeds and licenses under the contracts.Maintaining strong relationships with customers, suppliers, subcontractors and other stakeholders to foster effective communication and resolution of any issues that may arise.Overseeing contract administration processes to ensure contracts are accurately and efficiently managed in accordance with the contract requirements and recorded within the project data repository and Configuration Management system.Generating regular reports and providing updates to senior management regarding contract compliance, risks and any areas of potential dispute.Ensuring legal compliance – keeping up to date with all relevant legislation and regulations in areas such as competition law, corporations law, work health and safety laws and regulations (in particular the Workplace Health & Safety Act). Implementing continuous improvement activities to transform aspects of the L&C function.YOUR EXPERIENCE
To be successful in your role, you will have demonstrated and/or acquired the following knowledge and experience:
At least 5 years’ demonstrated post qualification experience within a corporate/commercial department of a top tier/ mid-tier law firm, or in a corporate legal department providing hands-on experience to a significant business, or in a Government in-house Department demonstrating the skills required.Prior experience within a Defence-related industry either within Australia or overseas.Knowledge of and experience working with ASDEFCON bids and contract negotiations.Thorough understanding of project delivery principles, contract law, pricing and business acumen.Excellent client liaison and people management skills.Demonstrated advanced negotiating, analytical, financial and numeracy skillsQUALIFICATIONS
• Law degree and a current Practising Certificate (Australian Jurisdiction)
