Legal Assistant
Job Title: Legal Assistant Job Description The Legal Assistant will manage the life cycle of subsidiaries by obtaining necessary approvals and preparing legal documents for formations, amendments, qualifications to do business, withdrawals, and mergers of limited liability companies. Additionally, the Legal Assistant will establish and maintain electronic minute book records for newly formed and acquired entities. Responsibilities + Manage the life cycle of subsidiaries by obtaining necessary approvals and preparing legal documents for formations, amendments, qualifications to do business, withdrawals, and mergers of limited liability companies. + Establish and maintain electronic minute book records for newly formed and acquired entities. + Update CSC entity management database to enter information for new entities and changes in entity information, and use the database to provide information for shared mailbox requests. + Prepare approximately 5,000 annual report filings for various jurisdictions. + Promptly respond to routine information requests sent to the Corporate Governance shared mailbox, providing information about organizational structure, ownership, and management following established procedures. + Prepare and provide W-9s, officer lists, incumbency certificates, corporate structure charts, EINs, secretary’s certificates, and subsidiary attestations, and obtain good standing certificates. + Draft routine corporate consents for subsidiaries, including banking resolutions and officer changes. + Participate in special projects or activities related to the legal discipline being supported. + Perform legal and transaction-related research. + Perform other job-related duties as assigned. Essential Skills + Experience drafting and editing legal documents. + Strong Microsoft Office experience and collaboration skills. + Experience generating annual report filings. + 1+ years of experience as a Paralegal or legal assistant. + Corporate Governance Experience. Additional Skills & Qualifications + Paralegal certification. + Bachelor's Degree. + High School Graduate/GED. Work Environment The position requires working Monday through Friday from 8:00 AM to 5:00 PM onsite in Juno Beach. Pay and Benefits The pay range for this position is $32.00 - $38.00/hr. Eligibility requirements apply to some benefits and may depend on your job classification and length of employment.
