PwC Luxembourg is hiring a Investment Structuring & Regulatory Advisor (m/f/d). What if it was you?
Your mission: Recognising that today’s environment imposes on market participants new and exceedingly complicated regulatory requirements while always ensuring that their business is growing, PwC Luxembourg has pooled experts into the Regulator Risk and Compliance (RRC) department dedicated to provide services helping its clients to meet these requirements and challenges. The RRC team is able to provide timely, cost effective and practical assistance to clients facing regulatory compliance issues. As a Junior, you will provide our asset management related clients with a wide range of regulatory and compliance services and administration support.
Be a part of our team where you will:
Structuring Closed-Ended Alternative Investment Funds
Assist in the legal design and launch of closed-ended funds (e.g. private equity, venture capital, debt, infrastructure).
Draft and negotiate limited partnership agreements (LPAs) and other core fund documents.
Coordinate CSSF notifications or filings for regulated or indirectly supervised fund structures (RAIFs, SIFs, SICARs, etc.).
Institutional Investor Representation
Represent institutional and professional investors in connection with:
Fund reviews
Side letter negotiations
MFN processes and governance rights
Analyze and negotiate key commercial and regulatory clauses: fee mechanics, key person events, transfer restrictions, etc.
Regulatory & Compliance Advisory
Support asset managers, AIFMs, and investment firms in implementing new regulations, including:
AIFMD 2
DORA (Digital Operational Resilience Act)
SFDR and related ESG disclosure obligations
Draft regulatory documents: Key Information Documents (KIDs), SFDR disclosures, etc.
Monitor legal developments and translate them into clear guidance and action points for clients.
Lifecycle and Event-Based Support
Advise on fund lifecycle events: Launches, capital calls, closings
GP-led restructurings, liquidations, mergers, continuation funds, and contributions in kind
Coordinate with tax advisors, notaries, fund service providers, and administrators to ensure smooth execution.

Education & Legal Qualification
Experience as a qualified lawyer or in-house counsel in Luxembourg or another relevant EU jurisdiction (FR, DE, IE, etc.).
Holds a Master’s degree or LLM in Law, Business Law, or Finance Law.
Professional Experience
3–6 years of experience in fund formation, ideally within a law firm or in-house role focused on private assets funds.
Regulatory Competence
Sound knowledge of the regulatory landscape affecting investment funds,
Comfortable dealing with new legal texts and applying them to practical client settings.
