Director Deal Modeling & Valuation
Job Summary The Director of Deal Modeling & Valuation Support is a new, critical role in our Transaction Leadership Office designed to support our efforts and drive timely but reliable value forecasts and inputs for deal pricing for newly acquired health systems, ambulatory/ ancillary care providers, joint ventures, or any acquired technology or intellectual property into Novant Health as part of the Transaction Leadership Office (“TLO”). This role requires a comprehensive understanding of the entire transaction lifecycle with an emphasis on delivering early-stage valuation and deal modeling activities and coordination with the VP of Diligence PMO, VP of Integration, and the Novant Health Enterprises Deal team in setting and refining purchase price, synergy estimates, and total capital budget requests across the transaction lifecycle. Additionally, the Director of Deal Modeling & Valuation Support will support coordination and integration into the deal model of findings from third-party consultants (valuation, financial due diligence, billing/coding audits) The Director of Deal Modeling & Valuation Support will enhance the NHE’s capabilities by leading pro forma model development, ensuring efficient and accurate transaction prioritization and evaluation. The Director of Deal Modeling & Valuation Support must be comfortable supporting the entire transaction with core responsibilities including: + Develop and Refine Valuation Models: Create and enhance standard internal valuation models to assess the financial viability and potential returns of various deals + Perform Detailed Financial Modeling: Construct detailed financial models to simulate different scenarios and outcomes, providing strategic insights to support decision-making + Cross-Functional Coordination: Work closely with corporate development, finance, legal, and other departments to gather necessary data and insights + Standardize Valuation Practices: Establish and maintain standardized valuation practices to ensure consistency and reliability in financial assessments across all transactions + Develop and refine executive reporting. Create and refine portions of the deal scorecard to help prioritize deals within the portfolio for the executive team. Qualifications + Education: Bachelor’s degree in Finance, Accounting, or related field, required. Graduate Degree (MHA/MBA) or related business field, preferred. + Experience: + Significant healthcare provider or hospital valuation, financial diligence and/or synergy modeling experience required + 7+ Years M&A, Big 4 consulting, investment banking, due diligence, or healthcare corporate development, required. + Minimum of 7 years of professional experience, required. + Licensure/Certification: FMVA, CPA or CFA, preferred. + Additional Skills (required): + Proven track record of leading and executing complex valuation transactions with a focus on: + Understanding of healthcare systems, operations, and regulatory environments + Interfacing with leadership and functional workstreams to develop strategic decisions and present findings + Writing, reviewing, and presenting reports including findings and recommendations from M&A transaction financial due diligence perspective to our leadership team + Working knowledge of investment banking, corporate development activities, deal sourcing and targeting + Working knowledge of valuation, scenario and sensitivity modeling, deal model, and financial due diligence (i.e., Quality of Earnings, Working Capital, and Balance sheet). + Experience in “pressure testing” synergies with an eye towards execution and pull through in the form of customers, markets, revenue, and margins. + Support the Deal Team and Due Diligence Office (DMO) to de-risk transactions. + Assist in completing and reviewing comprehensive written reports containing information and analysis related to the operational environment of potential investments + Resolve findings, working with internal departments to address and mitigate modeling and due diligence-related issues + Developing work plans for components of engagements, coordinate activities between work streams and identify changes in scope. + Managing cross-functional teams to deliver operational due diligence engagements and transition to our integration team. + Strong oral and written communication skills, including presentation skills and executive presence. + Strong problem solving and troubleshooting skills with the ability to exercise mature judgment.
