We are seeking an experienced and strategic Director and Assistant General Counsel, Compliance to lead legal support for corporate compliance initiatives, regulatory matters, and internal risk programs. In this role, you will collaborate closely with internal stakeholders—including Business leadership, Legal, Risk, Internal Audit, Operations, and Privacy—to shape and maintain effective compliance policies and practices. The ideal candidate will bring at least seven years of experience in legal compliance, particularly with regulatory frameworks, internal investigations, and enterprise risk management. Some Healthcare and/or financial services compliance experience would be desirable. Candidates with slightly less experience may be considered for a Senior Counsel title. **Responsibilities:** · Providing legal counsel on compliance-related issues across the organization, including internal policies, controls, and third-party relationships · Driving the development and the continuous improvement of Conduent’s Compliance Programs. · Advising on evolving laws and regulations related to government contracting, anti-corruption, fraud prevention, ethics, and other compliance risks relevant to Conduent’s business operations · Carrying out a leadership role within the Compliance team, managing projects, mentoring and potentially managing more junior members of the team. · Partnering with enterprise risk and audit teams to assess compliance risks and recommend mitigation strategies · Leading or supporting internal investigations related to regulatory or policy violations, and working with stakeholders on appropriate responses · Collaborating with internal business teams to design and maintain a robust compliance framework that aligns with industry best practices and assist managing client and other regulatory audits · Supporting third-party risk management by reviewing vendor contracts and ensuring compliance-related terms are addressed · Interfacing with regulators and government agencies as needed on compliance inquiries, audits, or enforcement matters · Managing outside counsel and compliance vendors to ensure effective and cost-efficient support · Educating and training the Legal Department and other teams on emerging compliance laws, trends, and internal obligations · Supporting broader legal needs, including litigation, contract review, and enterprise policy development, as needed **Requirements:** · Holding a Juris Doctorate from a top-tier law school · Maintaining an active license to practice law in at least one U.S. jurisdiction · Bringing at least seven years of legal experience with a strong focus on compliance, regulatory matters, or investigations · Demonstrating experience in highly regulated industries (e.g., public sector, healthcare, finance, or government contracting) · Advising senior leadership and cross-functional teams on compliance risks and policies · Communicating effectively with strong collaboration and influence across all levels of the organization · Managing multiple priorities with a high sense of urgency, sound judgment, and attention to detail **Flexible Working:** **At Conduent, we value individuality and flexibility in how our associates work and deliver their best. For this position, actual salaries will vary and may be above or below the range based on various factors including but not limited to location, experience, and performance. In addition to base pay, this position, based on business need, may be eligible for a bonus or incentive.
