Job Description:

Department Overview:

The Financial Restructuring Group (FRG) is a specialized team within Business Banking, focused on managing high-risk commercial lending relationships across Canada. FRG serves as the center of excellence for handling complex risk situations, corporate debt restructuring, and insolvency.

 

The Commercial National Accounts (CNA) team within FRG manages the largest high-risk clients nationally, including both bilateral and syndicated loan facilities. The team collaborates closely with originating offices to maintain client relationships and manage risk.

 

FRG Mandate:

·  Restructure and retain quality commercial clients for TD.

·  Share expertise and provide guidance to originating offices on managing high-risk situations.

·  Support Business Banking profitability by maximizing loan recovery, minimizing loan losses, and pricing loans appropriately for risk.

 

Key Role Responsibilities:

·  Manage a portfolio of financially troubled companies, providing advice and restructuring their debt to help them remain viable, long-term TD clients.

·  Minimize loan losses and protect TD’s brand.

·  Oversee accounts with over $15 million in exposure, including complex cash flow loans and syndicated debt (where TD may be lead or participant).

·   Provide “shadow” coverage for designated accounts, acting as an internal advisor while the originating team retains ownership of the relationship.

·   Maintain a network of internal and external contacts, including Commercial Credit Risk Management, TD Securities, originating offices, and external professionals (lawyers, accountants, receivers, trustees).

 

People Management:

·   Directly manage Associate Directors and/or Commercial Service Officers.

·   Ensure credit submissions from Associate Directors are clear, concise, and compliant with TD policies and standards.

·   Responsible for developing and supporting direct reports.

 

Additional Accountabilities:

·   Assess and manage risk by analyzing client situations and applying TD’s lending policies and guidelines.

·   Develop strategies and solutions to minimize risk and support clients during restructuring.

·   Serve as the primary contact for clients during the restructuring process.

·   Set loan pricing and fees based on risk profile and work required.

 

Qualifications:

· Over 7 years of combined commercial credit and origination experience, including lending to large companies with syndicated financing.

· Experience in relationship management, either in origination or restructuring, with strong listening, understanding, and challenging skills for partners and clients.

· Excellent written and verbal communication skills, with a focus on clarity and brevity.

· Credit adjudication experience and/or professional designations (CPA, CFA, MBA, CBV) are assets.

· Bilingualism (French and English) is an asset.

Le GRF est le centre d’excellence pour gérer les situations à risque complexe, les restructurations de dette d’entreprise et les situations d’insolvabilité.

 

L’équipe Comptes commerciaux nationaux (CCN), au sein du GRF, gère les clients à risque élevé les plus importants à l’échelle nationale, ce qui comprend les facilités de prêts bilatéraux et de prêts syndiqués. L’équipe collabore étroitement avec les bureaux d’origine pour maintenir les relations avec les clients et gérer le risque.

 

Mandat du GRF:

·  Restructurer et fidéliser des clients commerciaux de qualité pour la TD.

·  Partager son expertise et fournir des conseils aux bureaux d’origine sur la gestion des situations à risque élevé.

·  Favoriser la rentabilité des Services bancaires aux entreprises en maximisant le recouvrement des prêts, en réduisant au minimum les pertes sur prêts et en établissant une tarification appropriée des prêts en fonction du risque.

 

Rôles et responsabilités clés:

·  Gérer un portefeuille d’entreprises en difficulté financière, offrir des conseils et restructurer les dettes pour les aider à demeurer des clients viables à long terme de la TD.

·  Réduire au minimum les pertes sur prêts et protéger la marque TD.

·  Superviser les comptes présentant un risque de plus de 15 millions de dollars, notamment les prêts sur flux de trésorerie complexes et les dettes syndiquées (que la TD soit un prêteur principal ou participant).

·   Fournir une couverture « par observation » pour les comptes désignés, en agissant à titre de conseiller interne pendant que l’équipe d’origine demeure responsable de la relation.

·   Maintenir un réseau de personnes-ressources internes et externes qui comprend Gestion du risque de crédit commercial, Valeurs Mobilières TD, les bureaux d’origine et des professionnels externes (avocats, notaires, comptables, séquestres, fiduciaires, etc.).

 

Gestion du personnel:

·  Gérer directement les directeurs associés et les agents, Services bancaires commerciaux.

·  S’assurer que les demandes de crédit des directeurs associés sont claires, concises et conformes aux politiques et aux normes de la TD.

·  Prendre en charge le perfectionnement et le soutien des subordonnés.

 

Responsabilités supplémentaires:

·  Évaluer et gérer les risques en analysant la situation des clients et en appliquant les politiques et les lignes directrices de la TD en matière de crédit.

·  Élaborer des stratégies et des solutions pour réduire au minimum le risque et soutenir les clients pendant la restructuration.

·  Agir à titre de principale personne-ressource pour les clients pendant le processus de restructuration.

·  Établir la tarification et les frais du prêt en fonction du profil de risque et du travail requis.

 

Compétences requises:

·  Plus de sept ans d’expérience combinée en crédit commercial et en montage de demandes, notamment en crédit à de grandes entreprises avec financement syndiqué.

· Expérience en gestion des relations, que ce soit en montage de demandes ou en restructuration, avec de solides compétences d’écoute, de compréhension et d’examen critique pour les partenaires et les clients.

· Excellentes compétences en communication écrite et verbale, avec un accent sur la clarté et la concision.

·  Expérience en prise de décision de crédit et/ou titres professionnels (CPA, CFA, MBA, CBV), des atouts.
