**What** **you’ll** **be doing**
The Director, Compensation Regulatory Compliance, Regions (outside North America) is accountable for regulatory compliance activities as they relate to compensation. In this capacity, the Director, will be accountable for leading on compensation regulatory developments for regions outside of North America. The Director will contribute to the UK Remuneration Committee (RemCo), the Luxembourg Board requirements and Australia requirements as well as research, monitor and develop strategies (and if required, additional committees) for complying with regulatory requirements in the regions in which we operate outside of North America. The Director will be accountable for determining if there are any regulatory requirements across all regions; working with required stakeholders to fulfill the obligations of the regulatory requirements and ensure the RR&P team and/or the HR team is in compliance in terms of what needs to be reviewed / approved throughout the year. The Director will be responsible for educating and providing advice and counsel and education to relevant stakeholders on regulatory developments or requirements.
The Director will lead the regulatory contributions across the respective Committees, develop strategies for disclosure of key compensation items and build expertise regarding compensation and disclosure requirements for our key regions outside of North America. The Director will monitor regulatory requirements and best practices and may also be involved in supporting or providing expertise and guidance regarding regulatory requirements to compensation, HR or partners in the business. In addition to advising on specific content the Director will be accountable for creating content for specific items/decks each meeting to meet what is required for each Committee or for submission to one of the other Committees or the Board.

+ **Committee Work-** Contribute to the UKRemCoandLuxembourgBoardwithinputfromSEVP,People, Culture and Brand, SVP HR, SVP, Rewards, Recognition and Performance and the VP, Executive Compensation and Governanceand VPTotal Rewards Regulatory Compliance and Mergers and Acquisitions. Build relationships with allrequiredstakeholdersacrossHRand/orthebusinesstomeettheregulatoryrequirementsand ensure compliance.Provideadviceandcounselontheinterpretationofregulatory requirements andoversight/approvalguidelines.Developmaterialsbyresearching,analyzingandformulatingrecommendationsonvariouscompensation policies, requireddisclosuresand regulatory compliance related matters. Manage regulatory,operationaland reputational risks to ensure that regulatory and legislative requirementsareappropriatelyincorporatedincompensationpoliciesandprocessesrelatingtothejurisdictionsin which weoperateoutside of North America
+ **Compensation-** Proactivelymonitorregulatorytrendsand updatesandrecommendenhancementstoensureCIBCmaintainsandcomplieswithall requirements outside of North America. Assumealeadroleorco-leadwithinternalpartnersacrossHRgloballytomeetregulatorenquiriesand fulfill disclosure obligations.

Advancedexpertiseinthedesign,developmentandimplementationofgovernanceprocessesrelatedto compensation, including emerging trends. ProvenexperienceinconsultingtoBoardandseniorexecutives.Provencompensationknowledgeandexperience.
