PwC is the leading M&A advisor in New Zealand and the only Big 4 firm with a fully integrated deals capability across M&A, infrastructure, debt advisory, property and transaction services. Our Corporate Finance team advises on many of New Zealand’s most significant mid-market M&A transactions, working with privately owned businesses, corporates, private equity and financial sponsors.

We are seeking an experienced Director to join our Corporate Finance team in Auckland. This is a senior leadership role with a clear focus on M&A, responsible for leading and delivering buy-side and sell-side transactions for private companies, corporates and sponsor-backed clients.

As a Director, you will act as a trusted advisor to business owners, boards and investors, providing strategic advice across acquisitions, divestments and ownership transitions. You will lead deal teams through transaction strategy and execution, drive client relationships and play a key role in growing PwC’s M&A practice.

In this role, you will:

Lead and deliver buy-side and sell-side M&A transactions, including sponsor-led transactions, from initial client discussions through to execution and completion

Act as a trusted advisor to business owners, boards and private equity / financial sponsors on acquisition and divestment strategy, deal structuring and negotiation

Lead and direct deal teams, ensuring high-quality execution across transaction workstreams

Shape and present high-impact materials for boards, shareholders, investment committees and other senior decision-makers

Drive business development and client relationship growth, converting opportunities into executed transactions

Lead, mentor and develop high-performing teams, building capability across Managers, Associate Directors and junior staff

You will bring deep M&A experience, strong client credibility and a proven track record of delivering transactions.

You will have:

A tertiary qualification in Finance, Accounting, Commerce or a related discipline

Extensive experience (typically 10+ years) in corporate finance, M&A or investment banking, ideally within a Big 4 or similar advisory environment

Demonstrated leadership across buy-side and sell-side M&A transactions, including private equity or financial sponsor-backed deals

Strong understanding of deal structuring, negotiation, transaction execution and shareholder dynamics

Proven ability to build and sustain trusted relationships with business owners, executives and investment professionals

Experience leading, mentoring and developing high-performing deal teams

Well-developed commercial judgement, strategic thinking and decision-making capability

Exceptional written and verbal communication skills
