Job Responsibilities :The Corporate Secretarial Specialist will be responsible for supporting a portfolio of entities across multiple jurisdictions, ensuring compliance with applicable corporate, regulatory, and governance requirements.Portfolio & Entity ManagementWork collaboratively as part of the corporate secretarial team to support a diverse portfolio of entities and jurisdictions, ensuring compliance with local corporate laws, regulations, and filing requirements.
Maintain accurate and up-to-date statutory records, registers, and corporate documentation for all entities.
Monitor statutory deadlines and ensure timely filings, renewals, and regulatory submissions across jurisdictions.
Transactions & Corporate ActionsSupport corporate actions such as incorporations, liquidations, restructurings, mergers, acquisitions, capital reductions, share issuances, and intercompany changes across jurisdictions.
Coordinate execution, notarisation, apostilling, and legalisation of documents as required by different countries.
Liaise with internal legal, tax, finance, and compliance teams to ensure transactions are implemented accurately and efficiently.
Stakeholder & Service Provider ManagementAct as the point of contact for external corporate secretarial firms, legal advisers, registered agents, and regulators in various jurisdictions.
Review work product from external providers to ensure quality, accuracy, and consistency.
Manage service provider relationships, budgets, and fee arrangements.
Risk, Compliance & ControlsIdentify and escalate corporate secretarial, regulatory, and governance risks in a timely manner.
Ensure compliance with internal policies, group governance frameworks, and regulatory requirements.
Support audits, regulatory reviews, and internal control assessments relating to corporate secretarial matters.
Pre-Requisites :Qualifications & ExperienceDiploma in Law, Business, Accountancy, or a related discipline.
Professional qualification such as ICSA / CGP / Chartered Secretary (or equivalent) preferred.
Experience working with entities across regions such as Asia-Pacific, Europe, the Americas, and/or offshore jurisdictions is an advantage.

Skills & CompetenciesUnderstanding of corporate governance frameworks and regulatory requirements across different jurisdictions.
Excellent organisational skills with the ability to manage multiple deadlines and complex portfolios.
High attention to detail and strong documentation standards.
Strong stakeholder management and communication skills, including working with senior management and boards.
Ability to work independently, exercise sound judgment, and handle sensitive and confidential information.
Comfortable working in a fast-paced, international environment with cross-border stakeholders.
A strong team player who works collaboratively with colleagues.
