Ensure that the Sanofi legal entity structure is kept in accordance to business needs and legal requirementsEnsure appropriate corporate governance standardsEnsure timely implementation of complex French company/corporate law restructuring transactions, multi-jurisdiction restructuring transactions and support of M&A transactions

Key responsibilities:

Analyzing, advising on, drafting documentation on complex French company/corporate law restructuring transactions and multi-jurisdiction restructuring transactionsProviding advice and information on company/corporate law and governance questionsProviding advice, setting up, managing of legal entities with all sorts of legal forms, Joint Ventures, associations, etc.Supporting M&A activities and transactionsCoordinating legal advice/documents with all concerned stakeholders from all concerned functions at global and local levelSupervising/managing company/corporate legal work (annual compliance, standard transactions)

About you

Education:

French law degree, Master 2 in Business Law

Expected background:

Professional experience with at least 2 - 3 years company/corporate law, legal restructuringExperience in company/corporate law, corporate governance, legal restructuringGood understanding of accounting, tax, treasury topics related to legal restructuring transactionsGood business sense and acumen

Very good communication skills especially in a multi-cultural, global, and complex matrix environmentStrong team spirit, interpersonal and networking skillsAbility to synthesize complex informationThoughtful risk-taking approach/mindsetSolution-orientedCan operate in ambiguous and undefined areas and bring clarity and directionCan handle and easily bounce back from setbacks, stays focused and composed in stressful situations, maintains a positive attitude during troubling circumstancesHigh energy, tenacity and patienceAbility to work with Office 365 environment and with other digital tools and databasesFluency in French and English is mandatory
