Job Summary

Provides legal advice and services on issues concerning the rights, obligations and privileges of the organization. Represents the organization to customers, vendors, competitors and government agencies. Effective negotiation, relationship building, clear communication, and organizational skills are key skills needed in this role. Strong interpersonal skills, and developing positive relationships with internal and external clients, are also critical. 

Primary Job Responsibilities

• Structure, draft, negotiate, and review contracts including large, global customer contracts, software licenses, vendor contracts, partnership arrangements and other documents related to a variety of trade, commercial, financial, and operational matters. 

• Perform risk assessment and analysis related to commercial terms, identifying and vetting high risk matters.

• Facilitate review, approval, and execution of sales and customer agreements.

• Provide independent advice and counsel to internal business partners on a wide variety of issues that arise in the context of commercial contracts in areas that concern software licensing, data security, privacy and regulatory matters.

• Research, analyze, and interpret proposed and existing laws, statutes, and regulations

• Identify, evaluate, and address issues of legal risk 

• Liaise with external legal counsel on complex legal issues

• Manage and optimize legal department processes and workflows 

• Oversee the implementation and maintenance of legal technology tools and systems 

• Collaborate with cross-functional teams to streamline legal processes and improve efficiency 

• Administer outside counsel spend and matter management 

• Develop and lead legal strategy which may include legal strategy for AI development 

• Understand and adhere to policies, guidelines and procedures pertaining to ethics and compliance, and to the protection of Information Assets, integrity of customer transactions, proper and ethical utilization of access privileges and resources provided to perform the role. 

• Fully comply with all provisions of the Company Code of Conduct, Acceptable Use Policy and Confidentiality Agreement.

• Perform other matters as needed.

Qualifications

• 5+ years’ experience in general business legal issues, preferably in a customer service / BPO industry

• 5+ years’ experience handling sales contract negotiations

• 5+ years’ experience corporate in-house experience

• Juris Doctor Degree from an accredited law school

• Admission to State Bar in which Attorney practices

• Experience in Real Estate and Leased Transactions is a plus

• Excellent written and verbal communication skills, along with well-developed interpersonal skills, to communicate effectively with senior management, and internal and external clients.

• Strong drafting and negotiation skills, including the ability to balance and deal with multiple parties and competing interests, with a high attention to detail.

• Ability to work independently and effectively with high levels of client/customer interaction and visibility, including ability to prioritize objectives and handle heavy workload. 

• Experience structuring, drafting and negotiating sophisticated commercial contracts (BPO experience a plus).

• Great attention to detail. 

• Ability to constructively engage business teams and win confidence as a trusted advisor.

• Adapts and executes functional or departmental business plans and contributes to the development of functional or departmental strategies

• Must be proactive and have the ability to manage multiple matters simultaneously

• Ability to work both independently and collaboratively in a cross-functional team setting 

• Must possess strong attention to detail

• Experience with complex legal matters in a commercial setting, including strong analytical, drafting and negotiation skills

• Knowledge and experience with counseling a sales/service organization that works on a demanding timeline

• Ability to communicate effectively and tactfully in person, in writing and by telephone, with a variety of deal participants, including opposing counsel, senior management and business associates
