As **Corporate Administrator** you manage the day-to-day operations and support the management of a portfolio of Luxembourg Special Purpose Vehicles (SPVs) and work closely with the fund teams of European real estate funds. You are responsible for the procedural and administrative compliance, as well as the corporate governance, of the SPVs.
Based in our Luxembourg office, you will be a central point in the communication and cooperation with the fund teams, local colleagues and external service providers around Europe, Middle East and Africa (EMEA). This includes corporate secretarial activities such as:
+ Incorporation, merger and liquidation of companies, including coordination of stakeholders.
+ Organising and leading of board and general shareholder meetings, preparation of meeting packs and drafting of minutes, proxies and convening notices.
+ Drafting standard resolutions and intercompany financing documentation for a portfolio of SPVs.
+ Coordinating and managing the administrative and legal formalities of Luxembourg companies.
+ Maintaining the corporate files of a portfolio of SPVs.
+ Coordinating signatures of transaction documents in line with closing timelines.
+ Performing filings and ensuring compliance with the Regulatory Compliance System (RCS) and the Register of Beneficial Owners (RBE).
+ Handling of Anti-Money Laundering/Know Your Customer requests as part of the day-to-day business (f.ex. bank account openings, real estate transactions, etc.)
**What do you have to offer us?**
+ Graduated bachelor’s or master’s degree in _law or business administration_
+ Around 1-3 years of _relevant (legal) professional experience_ (for example corporate law, fiscal law or contract law)
+ Excellent verbal and writing skills in _English, French and/or German_
+ Stress resistant and structured
+ Organizational skills and service oriented
+ Sociable and pro-active
+ Knowledge of the real estate investment market is an advantage
+ Good communication skills
+ Independent and accurate work, but also having the necessary team spirit
+ Hands-on mentality
