This is a unique opportunity to join the Company Secretarial team to support the firm's UK Real Estate subsidiary entities, including Limited Companies, Limited Liability Partnerships and fund governance structures. You will also entail supporting management committees, as required.
How you'll spend your time...
You will primarily support the Alternatives business, specifically its UK Real Estate function, providing high quality, corporate governance and board support to UK regulated and unregulated entities, including Limited Companies, Limited Liability Partnerships, and fund governance structures. The role also includes supporting management committees, as required. Primarily this support requires you to:
attend and minute Board meetings for the subsidiary Boards and their Committees, LLPs, shareholder meetings and other management committees, as required;
draft accurate, high quality minutes within agreed SLAs;
prepare agendas in consultation with the Chair and relevant stakeholders, and independently assemble and distribute meeting packs using an electronic Board Portal;
prepare action lists and co-ordinate the timely follow up of actions, including execution of documents according to local requirements and maintain authorised signatory lists;
support working with Legal, ensuring compliance with statutory and regulatory requirements, and with good corporate governance practices, including, but not limited to, arranging relevant statutory and regulatory filings;
oversee third party Company Secretary Firms as needed; and
work with colleagues to respond to KYC, DD and RFP requests.
Additionally, the role will support the organisation's general legal and regulatory compliance functions as required, for example:
maintain various corporate governance charts, guides, policies and terms of reference; and
provide general assistance on group wide projects, as and when required.
To be successful in this role you will have...
previous board support experience, specifically minuting taking at a regulated, financial services organisation required.
must be proactive, a self-starter, and extremely well organised.
fluent business English will be needed.
must be a qualified company secretary / governance professional or qualified solicitor.

working within a global financial services group, ideally including matrix management;
real estate corporate and fund structures;
minute taking at complex board meetings within financial services sector;
experience of subsidiary governance; and
statutory and regulatory filings.
