Commercial Attorney
The Red Hat Commercial Legal team is looking for a Commercial Attorney to join us in Tokyo, Japan. In this role, you will report to the Head of Legal in Red Hat APAC and work directly with our Japan sales team as well as sales teams around APAC as part of a globally distributed team within the Red Hat Commercial Legal team to support Red Hat customer and partner transactions and procurement activities in structuring, negotiating, and closing contracts. You will need to have excellent communication skills to interact with internal and external business clients while addressing complex issues in an accurate, clear, and thorough manner. As a Commercial Attorney, you will also need to have passion for technology, excellent problem-solving skills, and an ability to thrive in a fast-paced, changing environment. **What will you do:** + Draft, review, and negotiate commercial contracts, such as non-disclosure agreements, professional services statements of work, master services and software subscription agreements and partner agreements for resellers, distributors, and cloud providers + Structure and negotiate agreements for sales (direct and channel) for Red Hat’s software subscriptions and consulting services offerings + Educate customers about open source licensing and Red Hat’s subscription business model + Support and coach our Japan and regional sales teams; + Work with product, finance, and operations teams to develop negotiation strategies and resolve contractual issues + Serve as the first/main point of contact for contract-related questions in Japan + Participate in compliance initiatives, including training internal customers on legal and contracting policies or issues, including ethics and anti-corruption issues **What will you bring:** + 5+ years of relevant professional experience, including in-house experience is a plus + Bachelor of Law or higher degree in law from a Commonwealth jurisdiction a plus + Fluent legal drafting skills in English + Ability to speak and negotiate in Japanese + Practical experience in software or IT services contract negotiations, with solid knowledge of commercial and contract law; experience with open source technology is a plus + Experience representing multinational companies (MNCs) + Excellent written and verbal communication skills with good attention to detail + Ability to work on your own, prioritize, and follow through on multiple, concurrent, and often competing deliverables while managing expectations of the business and meeting deadlines + Outstanding interpersonal skills and the ability to collaborate effectively and earn trust and confidence with associates at many different levels + Ability to work as a legal team member in a scalable and accountable manner, demonstrating flexibility and personal accountability + Ability to manage responsibilities with an appropriate sense of urgency **About Red Hat** Red Hat (https://www.redhat.com/) is the world’s leading provider of enterprise open source (https://www.redhat.com/en/about/open-source) software solutions, using a community-powered approach to deliver high-performing Linux, cloud, container, and Kubernetes technologies.
