Join us! **Job Description:** This job is responsible for the analysis of complex legal issues and their implications on matters of significant impact to the business. Key responsibilities include providing practical legal advice regarding products, services, clients, contracts, or transactions, coordinating the work of outside legal counsel, and identifying and escalating legal risks. Candidate will provide legal representation and support for structured products, including repurchase agreements related to asset-backed lending, asset-backed warehouses, securitizations and lending for the Global Banking and Markets business. + Provide support for various repurchase agreements related to asset-backed lending; + CLO issuance and underwriting. + CMBS issuance and loan origination. + RMBS warehousing, underwriting and securitization. + Follow and help implement regulatory and legal changes for products. + Coordinate with outside counsel and the business with respect to upkeep of form documentation and bank regulatory and internal requirements. **Responsibilities:** • Communicates concise, actionable, and business-informed legal advice • Analyzes complex legal issues and implications on matters of significant impact to a line of business or function • Drafts, reviews, and/or negotiates complex legal documents, such as repo agreements, engagement letters, underwriting agreements, acquisition agreements, debt agreements, offering documents, and legal opinions • Interprets rulings, laws, and regulations surrounding financial instruments and products from a compliance and business control standpoint • Gathers, assesses, and evaluates information from various sources with an open mind to make a reasoned judgment or inference • Coordinates the work of outside legal counsel on related projects **Skills:** + Advisory + Influence + Interpret Relevant Laws, Rules, and Regulations + Policies, Procedures, and Guidelines + Risk Management + Critical Thinking + Decision Making + Issue Management + Legal Drafting and Writing + Regulatory Compliance + Attention to Detail + Collaboration + Executive Presence + Legal Structures and Legal Forms + Problem Solving **Required Qualifications:** + Familiarity with repo + Familiarity with securitizations and the use of securitization take-outs. + Familiarity with credit agreements for various warehouse and other lending facilities. **Desired Qualifications:** + 4 years plus experience at major law firm, bank or similar institutional experience. **Minimum Education Requirement:** Doctorate degree in related field **Shift:** 1st shift (United States of America) **Hours Per Week:** 40 **Pay Transparency details** US - NY - New York - ONE BRYANT PARK - BANK OF AMERICA TOWER (NY1100) Pay and benefits information Pay range $175,000.00 - $259,500.00 annualized salary, offers to be determined based on experience, education and skill set.
