Job Description
Purpose of the role:
To support the Corporate Secretary in delivering the corporate governance functions of Brookfield Australia’s business (including supporting transactions and corporate actions on an active portfolio of companies and trusts) in compliance with legal and regulatory requirements. Ensure administration processes are accurately and carefully followed to achieve desired outcomes.
Responsible for:
Providing corporate governance services for the Brookfield business in a highly transactional and commercial environment, including but not limited to:
drafting and circulating BAU resolutions including incorporations, capitalisations, and distributions;
drafting and/or circulating ad hoc non-BAU resolutions;
seeking approvals for execution of documents and the execution of those documents;
maintaining accurate and up to date corporate registers through Diligent Entities, SharePoint and physical statutory records;
assisting with subsidiary and/or JV Board/Committee meetings and notifications, liaising with the wider business to collate agendas and board papers;
timely production of skeleton or draft minutes following meetings;
ensuring compliance with corporate regulatory matters, including ASIC, APRA, and AFCA lodgements;
assisting in driving and advising on corporate governance requirements within various projects;
continuous improvement of internal approval processes and influencing/educating internal stakeholders regarding same;
supporting the maintenance of Corporate Structure Charts for the Australian business;
oversight of onshore and offshore business reporting;
responding to ad hoc requests from the wider business for information maintained by the company secretarial team, including internal tax and finance projects, and legal transactions; and
other ad hoc projects and duties as required.
Qualifications/Experience/Skills
Tertiary qualifications in law, finance or other relevant qualifications including Graduate Diploma in Applied Corporate Governance.
Minimum 5 years’ hands on company secretarial experience (working within large organisation structure preferred).
In depth experience with an electronic entity management system (Diligent Entities, Diligent Boards and iManage preferred but not essential).
Key Competencies
Strong understanding of complex and growing organisational structures and types of legal entities including companies, trusts and LPs;
Excellent technical skill in managing corporate actions including incorporations, distributions, capitalisations and change of share structures, including:
Managing the recording of corporate actions in an electronic entity management system (ideally Diligent Entities);
Strong drafting skills preparing circular resolutions to implement corporate actions;
Sound knowledge of Corporations Act and regulatory requirements for corporate actions; and
Experience of the above in the context of companies, trusts and/or partnerships.
Experience in preparing board agendas, collation of board papers, following up on matters arising and drafting minutes;
Good understanding of AFSL requirements (preferred);
Meticulous attention to details;
Excellent written and verbal communication skills – ability to adapt to different audiences and maintain professional relationships with various stakeholders both internally and externally;
Ability to:
