Job DescriptionAllied Universal® is hiring an Associate Counsel, Litigation and Corporate. The Associate Counsel will support the Legal Services Group by assisting with the handling and management of collections, third-party bankruptcy, corporate litigation and commercial matters. The Associate Counsel position will be located at one of our offices in Atlanta, GA or Conshohocken, PA. This role may expect some overnight travel based on business needs.
RESPONSIBILITIES:
Collaborate with Associate General Counsels, internal stakeholders, and external clients on litigation and commercial matters and oversee commercial and business litigation cases from initiation to conclusionProvide comprehensive legal advice and support to internal stakeholders and leaders on litigation risk, contract interpretation, dispute resolution, debt collection and third-party bankruptcy mattersReview and analyze contracts, corporate records, and business communications to identify potential litigation risks and inform defense or settlement strategySupport internal investigations and dispute resolution efforts by gathering facts, interviewing employees, and preparing summaries, while also negotiating settlements and representing the company at mediations and settlement conferencesIdentify and implement process improvements based on experience, lessons learned, and best practices, while supporting risk mitigation initiatives and internal training programs related to dispute prevention and contract enforcementMonitor and summarize changes in laws, regulations, and case law that may impact the company's risk exposure or compliance postureConduct legal due diligence and risk assessments for mergers and acquisitions, draft and review transaction documents, and support post-Merger and Acquisition (M&A) integrations by coordinating with business units to address legacy disputes, liabilities, and ongoing contract obligations, while maintaining and updating legal templates, resources, and governance protocolsSupport corporate governance activities, including maintaining subsidiary records, drafting resolutions and meeting minutes, and assisting with annual and periodic filingsCollaborate on cross-functional projects with attorneys and business teams across corporate, compliance, and regulatory functions to Identify and mitigate legal risks, support business Initiatives, and ensure alignment with organization objectivesQUALIFICATIONS (MUST HAVE):
Law degree from an accredited law school and admission to the bar in any jurisdictionMinimum of three (3) years of legal experience, with exposure to corporate or transactional mattersAbility to interface and communicate effectively with many diverse internal groups, including all levels of employees, in-house legal counsel, external legal counsel, customers, law enforcement officials and agencies, consultants, and vendorsDemonstrated ability to manage multiple matters simultaneously in a fast-paced, collaborative environmentFamiliarity with commercial contracts, corporate structures, and M&A due diligenceStrong organizational, analytical, and writing skills, including attention to detail and a self-driven problem-solving mindsetAbility to work independently, as well as in team situationsHigh integrity, strong work ethic, customer-centric and able to handle multiple, simultaneous projects with attention to detailAbility to drive deliverables and influence both internal and external customers in a team settingPREFERRED QUALIFICATIONS (NICE TO HAVE):
Prior experience handling general liability or business litigation mattersPrior experience in the security industry or other regulated industryBENEFITS:
