Key Responsibilities
Oversees entity management for Ameriprise Financial and US subsidiaries, processing documentation/filings for formations, conversions, integrations, mergers and acquisitions, withdrawals and dissolutions in collaboration with Finance, Tax and Legal. Research and respond to requests for information regarding entities. Maintain and distribute global corporate organization chart.
Manages and maintains official corporate record for Ameriprise Financial and its subsidiaries, which includes among other activities:
Manages and maintains active state authorities to do business (domestic and foreign) for all U.S. entities and oversees filings completed by CT Corp:
Draft, originate, and distribute board consents (bank account/capital contribution or annual officer/director appointments, dividend declarations) and secretarial and incumbency certificates and provide corporate seal stamping. Facilitate officer and director changes and produce director and officer lists (monitor human resource employee termination database weekly).
Support the Corporate Secretary and team, as needed, on corporate law and governance of Ameriprise Financial and its subsidiaries, including by not limited to: peer group and benchmarking research; prepare and upload board meeting material; appointment of legal entity officers; updating officers in the entity management database; KYC (know your client) requests; and certification of legal documentation.
Support the review and processing of conflicts of interest inquiries, ensuring compliance and accuracy. Maintain and update the tracking log to provide clear visibility and timely reporting.
Provide consultation to business partners on legal matters under attorney supervision. Conduct research, as needed, on current legal and regulatory topics impacting entity management.
Respond to vendor questions/issues and serve as the primary point of contact for vendor-related administrative matters and complete vendor risk assessment.
Required Qualifications
- Bachelors degree or equivalent
- CS certification
- 5 to 8 years of relevant experience
- Understanding of corporate governance processes and knowledge of or experience planning or organizing board meetings
- Results oriented, team player with the ability to work in a capacity with strict confidentiality, both inside and outside the organization
- Strong interpersonal and communication skills
- Ability to manage multiple concurrent activities and prioritize
- Good working knowledge of Microsoft Windows, Outlook, board portals and governance databases
