Associate Counsel, Real Estate & Commercial
**Description** The Associate Counsel, Real Estate & Commercial will assist in handling a variety of real estate transactions and legal matters related to retail and corporate properties, as well as commercial contracts for the Americas region. The retail and commercial work is focused primarily in North America, whereas the corporate work is global. This individual will be an integral team member of the various real estate functions within the Estée Lauder Companies. They will provide legal and other advice and guidance regarding all aspects of real estate matters, including leases, amendments, construction, disputes and closing locations and advice and guidance regarding commercial wholesale agreements and related retailer agreements. They will provide legal advice and counsel on select matters for the brands in the North America region within The Estee Lauder Companies, focused on retailers, distributors, consumers, and salons. They will supervise and/or handle matters internally and with outside counsel where the volume, complexity or jurisdiction requires it, with a strong focus on process and management of multiple priorities. This role presents an exciting opportunity to be part of a prominent organization and work closely with experienced attorneys and business partners, gain valuable insights, and contribute to the company’s success in a fast-paced environment. + Legal Advice: Provide legal counsel on the preparation, negotiation, and review of various real estate documents and commercial contracts for the development, construction, and operation of retail and commercial properties (e.g., lease agreements, purchase and sale agreements, estoppel certificates). Additionally, advise on wholesale and retail commercial contracts for the commercial development of our brands within the NA region (e.g., cost-sharing agreements, staffing agreements). + Collaboration: Work closely with internal stakeholders, including leasing, finance, construction, design, and operations teams on real estate matters, as well as brands and commercial leaders within the NA commercial organization. Collaborate with legal and business subject matter experts on cross-functional projects. + External Liaison: Manage relationships with outside law firms regarding real estate matters, including disputes and litigation, ensuring cost-effective solutions. + Efficiency and Process Improvement: Strive for operational efficiency by developing and implementing solutions to improve processes. + Due Diligence and Integration: Assist with due diligence for potential acquisitions and support integration efforts for newly acquired brands. + Dispute Resolution: Handle dispute resolution and litigation related to real estate (e.g., lease negotiations, property management) and commercial activities. + Support and Maintenance: Provide legal support for all real estate activities involving Estee Lauder and its portfolio of brands and business units. Maintain organized records of legal documents, correspondence, and contracts related to real estate transactions. + Templates and Standard Forms: Develop and maintain templates and standard forms for real estate transactions to streamline processes. **Qualifications** + Juris Doctor (JD) degree; licensed or eligible to practice in New York + 7 years of real estate and commercial contracts experience at AM Law 200 firm and/or Fortune 1000 company + Strong understanding of real estate transactions and leasing. + Strong attention to detail and ability to manage multiple priorities. + Fluent in both written and conversational English + Strong ability to think strategically and creatively to resolve matters effectively and efficiently and to build strong collaborative relationships with senior management, as well as business leaders and other colleagues in various functions. + Excellent legal and business judgment; a high degree of discretion; and excellent organizational and verbal and written communication skills. + Someone who strives for excellence in execution and follow through, including excellent transactional drafting and negotiation skills. + Ability to meet deadlines, prioritize workload, adapt to changing conditions, and execute in a complex matrixed environment. + Experience within the cosmetics industry or consumer products industry, not required but desirable.
