Location Overview:

The Team:
The EMEA corporate secretary team is a collegial, professional team comprised of experienced corporate secretaries and attorneys dedicated to providing world class service to management, directors, and the entities we support. We interact with our global Corporate Secretary team to pursue best practices in the industry and within Bank of America.

We are located in Paris, London and Dublin. The Bank of America Corporate Secretary team has approximately 19 team members in EMEA supporting global Corporate Secretary operations, regional legal entities, and entity eliminations. We frequently interact with our Legal colleagues in the U.S. and APAC, and with Bank of America senior management in region and globally.

There is currently a team of 4 corporate secretaries based in Dublin who are dedicated to the Irish entity, and they are part of the broader team based in London and Paris supporting all entities in EMEA. 

Responsibilities:

Our Dublin office currently has an opening for a dedicated Assistant Company Secretary to join our growing Legal team at Assistant Vice President level (or more senior for the right candidate). The role involves helping the corporate governance and company secretarial team of a regulated bank based in Ireland (with some support for other legal entities in Europe).

Our Legal department provides professional legal services to the company and its subsidiaries by addressing legal risks, providing creative solutions, and identifying opportunities for our business partners. As a key control partner, we understand the businesses we support and their ultimate client, shareholder, and employee goals.

What will your key responsibilities involve?

Assisting the corporate secretary team for a regulated Irish bank (and other regulated and unregulated European legal entities) in the publication of Board and Committee meeting materials and communications on Diligent Boards.Supporting the corporate secretary team in delivering a fit for purpose meeting administration process for the Board and Committee meeting arrangements. Attending Board and Committee meetings and draft meeting minutes or specific sections.Creating and preparing a variety of documents including agendas, resolutions, materials, minutes, attendance registers.Organizing and maintaining Board and Committee and other governance-related documentation databases in accordance with applicable record retention requirements.Keeping legal entity corporate governance information up to date.Contributing to improving team processes, procedures, and controls.Oversee the following in liaison with the corporate secretary team:Maintenance of the statutory registers and internal record keeping systemLocal and overseas filingsOperation of signing authorities and delegated authoritiesExecution of legal documents including POA’s, Certificates of Incumbency, Deeds etc. including notarisation / apostille / legalisation.External company secretarial provider companies

Experience and Skills:

Degree or equivalent experienceExperience working in a financial services environment in a company secretarial or administrative capacity is preferredExperience with European and Irish corporate governance requirements for regulated financial services firms is preferredExcellent written, presentation and communication skills; good attention to detail and accuracySystematic and organised approach to workload with attention to detail and a dedication to extraordinary serviceHighly motivated self-starter with ability to multi-task and complete assignments within time constraints and deadlinesAbility to make connections across the organisation to achieve outcomes and results togetherProfessionalism, dependability, integrity and trustworthiness combined with a cooperative attitude.
